Terms and Conditions

These terms govern your use of SocialPost.online — the platform that lets creators publish across their social channels and earn from their content. Please read them carefully before using the Services.

01 Acceptance of terms

These Terms and Conditions ("Terms") form a binding agreement between you and [LEGAL ENTITY NAME] ("SocialPost," "we," "us," or "our") governing your access to and use of the SocialPost.online website, dashboard, and related services (together, the "Services").

By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms. If you do not agree, do not use the Services.

02 Eligibility & accounts

You must be at least 18 years old to use the Services. By using them, you represent that you meet this requirement and that the information you provide is accurate and current.

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to notify us promptly of any unauthorized use or security breach.

We may refuse, suspend, or close accounts at our discretion as permitted by law.

03 The Services

SocialPost provides tools to schedule, publish, and manage content across your connected social media channels, along with related analytics and monetization features. We may add, change, or remove features at any time. We strive to keep the Services available but do not guarantee uninterrupted or error-free operation.

Some features depend on third-party platforms and their availability, which is outside our control (see Section 10).

04 Connected social accounts

To use the Services, you connect one or more social media accounts and authorize SocialPost to act on your behalf — for example, to schedule and publish content and retrieve performance data through each platform's official API.

  • You represent that you own or are authorized to manage each connected account.
  • You authorize us to access and use the data necessary to provide the Services.
  • You remain responsible for complying with the terms of each connected platform.
  • You may disconnect any account at any time, which revokes our ongoing access.

05 Your content & conduct

"Your Content" means anything you upload, create, schedule, or publish through the Services. You retain ownership of Your Content.

You grant SocialPost a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and transmit Your Content solely as needed to operate and provide the Services — including delivering it to the platforms you direct us to publish to. This license ends when you delete Your Content or close your account, except for content already published to third-party platforms or retained as required by law.

You represent and warrant that you have all rights necessary to use and publish Your Content and that it does not infringe the rights of others or violate any law.

06 Acceptable use

You agree not to use the Services to:

  • Publish content that is illegal, infringing, defamatory, or that violates a third party's rights.
  • Distribute spam, malware, or engage in deceptive, fraudulent, or manipulative activity.
  • Violate the terms, policies, or automation rules of any connected platform.
  • Artificially inflate engagement, purchase fake followers, or otherwise manipulate platform metrics.
  • Attempt to gain unauthorized access to the Services or interfere with their operation.
  • Reverse engineer, scrape, or resell the Services except as expressly permitted.
  • Publish content involving minors in any inappropriate manner, or any content that is unlawful where you or your audience are located.

We may remove content or restrict accounts that we reasonably believe violate these Terms or applicable platform rules.

07 Monetization & payouts

The Services may let you earn income from your content. Your eligibility to earn, and the amounts you earn, depend on your activity, the connected platforms, and applicable third-party programs.

  • Payouts. We (or our payout partner) will pay eligible earnings to the payout method you designate, subject to verification and any minimum-payout thresholds.
  • Accuracy. You are responsible for providing accurate payout and tax information. Delays or losses caused by incorrect details are your responsibility.
  • Taxes. You are solely responsible for any taxes on your earnings. We may collect tax forms and report earnings to authorities where legally required.
  • Holds and adjustments. We may withhold, reverse, or adjust payouts in cases of suspected fraud, chargebacks, error, or violation of these Terms.
We don't guarantee earnings. SocialPost provides tools, not a promise of income. Results depend on your content, audience, and the platforms you use.

08 Fees & billing

  • Subscription fees. Paid plans are billed on a [BILLING CYCLE] basis through [PAYMENT PROCESSOR]. Fees are charged in advance and are non-refundable except where required by law.
  • Platform fee. We may retain [PLATFORM FEE] from monetized earnings as described at sign-up or in your dashboard.
  • Changes. We may change fees with at least [NOTICE PERIOD] notice. Changes apply to the next billing cycle.
  • Failed payments. If a payment fails, we may suspend paid features until the balance is resolved.

09 Intellectual property

The Services, including the SocialPost name, logo, software, and design, are owned by SocialPost and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose while these Terms are in effect.

You may not copy, modify, distribute, or create derivative works from the Services except as expressly permitted. All rights not expressly granted are reserved.

10 Third-party platforms

The Services integrate with third-party platforms (such as Instagram, X, TikTok, YouTube, Facebook, Pinterest, and LinkedIn) and rely on their APIs. Your use of those platforms is governed by their own terms and policies.

We are not responsible for the acts, policies, availability, or changes of third-party platforms, including any decision by a platform to limit, suspend, or remove access or accounts. A platform changing or discontinuing its API may affect or interrupt features of the Services.

11 Suspension & termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or where required to do so.

Upon termination, your right to use the Services ends. Sections that by their nature should survive — including content licenses already exercised, fees owed, disclaimers, limitations of liability, and dispute terms — will survive termination.

13 Limitation of liability

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14 Indemnification

You agree to indemnify and hold harmless SocialPost and its affiliates, officers, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

15 Governing law & disputes

These Terms are governed by the laws of [GOVERNING JURISDICTION], without regard to its conflict-of-laws rules. You agree that any dispute arising from these Terms or the Services will be resolved in [COURTS LOCATION], and you consent to the personal jurisdiction of those courts.

Note on dispute resolution. Many platforms include an arbitration clause and a class-action waiver here. Whether to add one — and how to word it — is a decision to make with your attorney based on where you operate.

16 Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Services or by email. Your continued use of the Services after an update means you accept the revised Terms.
